Terms of Service

These Terms of Service (“Terms”) govern your access to, and use of the software‑as‑a‑service platforms, websites, and related services provided by Hubio Technology Inc. (“Hubio,” “we,” “us,” or “our”). 

Hubio provides cloud-based technology solutions for the Property & Casualty insurance industry, including but not limited to regul8, communic8, collabor8, and related modules and services (collectively, the “Services”). 

By accessing or using the Services, you agree to be bound by these Terms.


1. Definitions  

"Services" means the software-as-a-service platforms, modules, and related services provided by Hubio.  

"Customer Data" means all data, information, and content submitted to the Services by or on behalf of the customer.  

2. Eligibility and Authority 

You must: 

  • Be at least 18 years old, and 

  • Have the legal authority to enter these Terms. 

If you use the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization. 

3. Account Registration and Security 

Access to the Services may require account credentials issued by Hubio. 

You are responsible for: 

  • Maintaining the confidentiality of credentials 

  • Ensuring only authorized users access the Services 

  • All activity conducted under your account 

You must notify Hubio promptly of any suspected unauthorized access. 

4. Permitted Use 

You may use the Services solely for: 

  • Internal business operations 

  • Lawful insurance related activities 

  • Purposes consistent with Hubie’s intended functionality 

You may not: 

  • Reverse engineer, decompile, or attempt to extract source code 

  • Circumvent security or access controls 

  • Introduce malware or malicious code 

  • Use the Services in violation of applicable laws or regulations 

5. Customer Data 

5.1 Ownership 

You retain ownership of all data, information, and content submitted to the Services  (“Customer Data”). 

The Customer is responsible for ensuring the accuracy of Customer Data, the lawful use of the Services, and the authorization and management of its internal users. 

5.2 Use of Customer Data 

Hubio processes Customer Data solely: 

  • To provide, operate, and support the Services as defined in our SaaS Agreement 

  • As required by law or regulatory obligations 

5.3 Data Security 

Hubio maintains administrative, technical, and organizational safeguards designed to protect Customer Data, consistent with industry best practices and SOC 2 Trust Services Criteria. 

5.4 Privacy & Data Protection 

Hubio processes Customer Data in accordance with applicable data protection laws, including PIPEDA, GLBA, etc. and as described in Hubio’s Privacy Policy.  

6. Confidentiality 

Each party may receive confidential information from the other. 

Each party agrees to: 

  • Use Confidential Information only to perform under the agreed terms 

  • Protect it using reasonable security measures 

  • Not disclose it except as permitted or required by law 

7. Audit and Regulatory Cooperation 

Upon reasonable request and to the extent required by applicable law or regulation, customers agree to cooperate with Hubio and relevant regulators in connection with audits or regulatory inquiries relating to your use of the Services. 

8. Intellectual Property 

All rights, title, and interest in the Services, including software, documentation, trademarks, and underlying technology, remain with Hubio or its licensors. 

Hubio grants you a limited, non-exclusive, non-transferable right to use the Services during the applicable subscription term. 

9. Fees and Payment (If Applicable) 

If the Services are provided for a fee: 

  • Fees are defined in our SaaS Agreement 

  • Payments are non-refundable unless expressly stated 

  • Failure to pay may result in suspension or termination 

Taxes are your responsibility unless prohibited by law. 

10. Third-party Services and Integrations 

The Services may integrate with third-party platforms and data providers. 

Hubio is not responsible for: 

  • Third-party systems 

  • Data provided by external parties 

  • Third-party privacy or security practices 

  • Party Integration Permissions and Notices 

Third-Party Integration Permissions and Notices: 

  • Customer requires express permission to integrate Hubio products with any third-party system, including client-developed solutions 

  • Customer is responsible for enabling any third-party integrations and obtaining all required rights, permissions, and consents to connect third-party systems and transfer Customer Data to/from them. 

  • Hubio may change or discontinue integrations and, where practicable, will provide reasonable prior notice (in-app, release notes, or email to your account administrator/billing contact) of any material change—one likely to break/degrade an integration, require action to maintain it, or materially expand Customer Data sharing beyond what is necessary for the integration. 

11. Suspension and Termination 

Hubio may suspend or terminate access: 

  • For violation of these Terms and as defined in our SaaS Agreement 

  • To protect system security or integrity 

  • To comply with legal or regulatory requirements 

Upon termination, your access will cease and Customer Data will be handled in accordance with Huobi’s data retention policies. 

  • Hubio will retain, return, or delete Customer Data in accordance with its data retention policies and applicable law. 

12. Disclaimer of Warranties 

The Services are provided “as is” and “as available.” 

To the maximum extent permitted by law: 

  • Hubio disclaims all implied warranties 

  • Hubio does not guarantee uninterrupted or error free operation 

13. Limitation of Liability 

As defined in our SaaS Agreement 

14. Indemnification 

You agree to indemnify and hold harmless Hubio from claims arising from: 

  • Your misuse of the Services 

  • Your violation of these Terms 

  • Your violation of applicable laws or third-party rights 

15. Compliance with Laws 

You agree to comply with all applicable laws, including insurance regulations, data protection laws, and export control laws. 

16. Changes to These Terms 

Hubio may update these Terms from time to time. Material changes will be communicated through the Services or other reasonable means. 

Continued use constitutes acceptance. 

17. Governing Law 

17.1 Canadian and International Customers: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. 

17.2 U.S. Customers: For customers located in the United States, these Terms are governed by the laws of the State of Delaware.
